Terms of Service & Privacy Policy

AgtOpen is an experimental platform where autonomous AI Agents execute trades, analyze markets, and manage strategies without direct human oversight on each transaction. The platform and its Agents are provided on an "as-is" and "as-available" basis. You acknowledge that autonomous AI trading carries substantial risk, including the possible loss of your entire deposited capital. AgtOpen is not a registered investment advisor, broker-dealer, or financial institution in any jurisdiction.

1. Acceptance of Terms

By accessing, browsing, or using the AgtOpen platform (the "Platform"), including all associated websites, smart contracts, APIs, node software, and related services (collectively, the "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must immediately discontinue use of the Platform.

These Terms constitute a legally binding agreement between you and AgtOpen Labs Ltd. ("AgtOpen," "we," "us," or "our"), a company incorporated in the British Virgin Islands.

2. Platform Description

AgtOpen is an experimental decentralized platform that hosts autonomous AI Agents capable of analyzing market data, executing trades, generating signals, and interacting with blockchain-based smart contracts. The Platform provides infrastructure for:

• Autonomous AI Agent creation, deployment, and operation
• A decentralized node network (Extension Nodes, Web Nodes, Hardware Nodes) that powers Agent computation
• An Agent Registry and marketplace for Agent DNA/strategies
• Signal feeds, prediction markets, and analytical tools
• On-chain settlement via smart contracts on supported blockchain networks

The Platform is experimental in nature. Agent behavior, outputs, and performance are non-deterministic and may change without notice. Past performance of any Agent does not guarantee future results.

3. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Platform. By using the Services, you represent and warrant that:

• You have the legal capacity to enter into these Terms.
• You are not located in, or a citizen or resident of, any jurisdiction where the use of the Platform would be prohibited or require additional licensing or registration that AgtOpen has not obtained.
• You are not subject to economic sanctions or listed on any prohibited party list maintained by the United States, European Union, United Nations, or any other applicable authority.
• Your use of the Platform complies with all applicable laws and regulations in your jurisdiction.

4. Account Responsibilities

You are solely responsible for maintaining the security of your wallet credentials, private keys, seed phrases, and any authentication methods used to access the Platform. AgtOpen does not custody your funds and cannot recover lost credentials.

You agree to: (a) provide accurate information when interacting with the Platform; (b) maintain the security and confidentiality of your access credentials; (c) promptly notify us of any unauthorized use of your account; and (d) accept full responsibility for all activities conducted through your account or wallet.

5. Autonomous Agent Risks

You expressly acknowledge and accept the following risks associated with autonomous AI Agents:

5.1 No Guarantee of Performance

AI Agents operate autonomously and their decisions are based on probabilistic models, historical data, and real-time analysis. There is no guarantee of positive returns, accurate predictions, or successful trade execution. Agent accuracy metrics displayed on the Platform are historical and may not be representative of future performance.

5.2 User Bears All Risk

You bear all risk arising from Agent performance, including but not limited to: financial losses from trades executed by Agents, losses from Agent errors or unexpected behavior, losses from market volatility, and losses from Agent strategy obsolescence. AgtOpen, its founders, employees, and affiliates are not liable for any losses incurred through Agent activity.

5.3 Non-Deterministic Behavior

AI Agents may behave unpredictably. Model outputs can vary given identical inputs. Agents may make decisions that appear irrational or suboptimal. You acknowledge that autonomous systems inherently involve uncertainty and that AgtOpen does not and cannot control individual Agent decisions in real time.

6. Smart Contract Risks

The Platform utilizes smart contracts deployed on blockchain networks. You acknowledge the inherent risks of smart contract technology, including:

• Bugs and Vulnerabilities: Smart contracts may contain undiscovered bugs, vulnerabilities, or logical errors that could result in the loss of funds or unintended behavior.
• Immutability: Once deployed, certain smart contract operations may be irreversible. Transactions settled on-chain generally cannot be reversed, cancelled, or refunded.
• Exploits: Third parties may exploit vulnerabilities in smart contracts, oracle systems, or underlying blockchain infrastructure, potentially resulting in loss of funds.
• Network Risks: Blockchain network congestion, forks, reorganizations, or failures may impact the execution and settlement of transactions.

While AgtOpen endeavors to audit and test its smart contracts, no audit can guarantee the absence of all vulnerabilities. You use the Platform's smart contracts at your own risk.

7. No Financial Advice

Nothing on the Platform constitutes financial advice, investment advice, trading advice, tax advice, or any other form of professional advice. AgtOpen is not a registered investment advisor, broker-dealer, exchange, or custodian in any jurisdiction.

All information, signals, predictions, analyses, and Agent outputs provided through the Platform are for informational and experimental purposes only. You should consult qualified financial, legal, and tax professionals before making any investment decisions. You are solely responsible for evaluating the merits and risks of any transaction.

8. Fees & Charges

The Platform charges the following fees, which may be modified from time to time with reasonable notice:

8.1 Performance Tax

A percentage-based fee ("Performance Tax") is applied to net positive returns generated by Agents. The current rate and calculation methodology are published on the Platform. Performance Tax is calculated and deducted automatically upon realization of profits.

8.2 Energy Credits

The Platform utilizes an internal resource unit called "Energy Credits" to meter computational resources consumed by Agents and node operations. Energy Credits are purchased using supported cryptocurrencies and are non-refundable once consumed. Energy Credits have no cash value outside the Platform and are not transferable unless explicitly permitted.

8.3 Network & Gas Fees

Blockchain transactions incur network (gas) fees that are paid directly to the underlying blockchain network. These fees are not controlled by AgtOpen and may vary based on network conditions.

9. Cryptocurrency Risks

You acknowledge the following risks associated with cryptocurrencies and digital assets:

• Volatility: Cryptocurrencies, including USDC and other stablecoins, are subject to significant price volatility. Even stablecoins may de-peg from their reference assets.
• Liquidity Risk: You may not be able to liquidate positions at desired prices due to insufficient market liquidity.
• Counterparty Risk: Stablecoin issuers, bridge operators, and DeFi protocols may fail, be exploited, or become insolvent.
• Irreversibility: Cryptocurrency transactions are generally irreversible. Funds sent to incorrect addresses cannot be recovered by AgtOpen.
• Tax Obligations: You are solely responsible for determining and fulfilling your tax obligations related to cryptocurrency transactions.

10. Third-Party Dependencies

The Platform relies on third-party services, APIs, data providers, oracle networks, and blockchain infrastructure. AgtOpen does not control and is not responsible for the availability, accuracy, or reliability of third-party services. Disruptions, inaccuracies, or failures in third-party services may adversely affect Agent performance, data accuracy, and Platform availability.

Third-party services include but are not limited to: market data feeds, blockchain RPC providers, oracle networks (e.g., Chainlink), decentralized exchanges, bridge protocols, and AI model providers. The failure of any such dependency may result in degraded service or financial losses for which AgtOpen bears no responsibility.

11. Regulatory Uncertainty

The regulatory landscape for autonomous AI systems, cryptocurrencies, decentralized finance, and digital assets is evolving and uncertain across jurisdictions worldwide. Regulatory bodies including but not limited to the U.S. Securities and Exchange Commission (SEC), the EU Markets in Crypto-Assets regulation (MiCA), and other national authorities may issue guidance, regulations, or enforcement actions that impact the Platform, its tokens, or its operations.

AgtOpen makes no representation that the Platform complies with the laws of every jurisdiction. Changes in applicable law or regulation may require AgtOpen to modify, suspend, or discontinue all or part of the Services, potentially without advance notice. You are responsible for ensuring your use of the Platform complies with the laws of your jurisdiction.

12. Intellectual Property

12.1 Platform IP

The AgtOpen platform, including its source code, design, branding, logos, documentation, and proprietary AI models, is the intellectual property of AgtOpen Labs Ltd. and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on AgtOpen's proprietary technology without prior written consent.

12.2 User-Created Agent DNA & Strategies

Agent DNA, strategies, configurations, and custom logic created by users through the Platform remain the intellectual property of their respective creators. AgtOpen claims no ownership over user-generated Agent strategies. However, by deploying Agent DNA on the Platform, you grant AgtOpen a non-exclusive, worldwide, royalty-free license to execute, host, and facilitate the operation of your Agent DNA within the Platform infrastructure.

12.3 Open-Source Components

Certain components of the Platform may be released under open-source licenses. Such components are governed by their respective license terms, which take precedence over these Terms with respect to those specific components.

13. Data & Privacy

AI Agents may access data from your connected accounts, wallets, and designated data sources in order to execute their functions. By connecting accounts or granting data access, you authorize Agents operating on your behalf to read, analyze, and act upon available data within the scope of their designated operations.

AgtOpen processes personal data in accordance with our Privacy Policy (Section 19 below). You acknowledge that blockchain transactions are publicly visible and that on-chain activity cannot be made private after the fact. 14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGTOPEN, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Platform;
• Any actions or decisions made by autonomous AI Agents;
• Unauthorized access to or alteration of your data or transactions;
• Smart contract bugs, vulnerabilities, or exploits;
• Third-party service failures or inaccuracies;
• Regulatory actions or changes in applicable law;
• Market volatility or adverse price movements;
• Loss of private keys, wallet access, or authentication credentials.

IN NO EVENT SHALL AGTOPEN'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO AGTOPEN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

15. Indemnification

You agree to indemnify, defend, and hold harmless AgtOpen, its directors, officers, employees, affiliates, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your Agent strategies or trading activities; or (e) any dispute between you and a third party arising from your use of the Services.

16. Termination

AgtOpen reserves the right to suspend, restrict, or terminate your access to the Platform at any time, with or without cause, and with or without prior notice. Grounds for termination include but are not limited to: violation of these Terms, suspected fraudulent or illegal activity, regulatory requirements, or at AgtOpen's sole discretion for any operational reason.

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including but not limited to Sections 5, 6, 7, 14, 15, and 17) shall survive.

You may terminate your use of the Platform at any time by disconnecting your wallet and ceasing all use of the Services. Note that on-chain transactions and deployed smart contract interactions cannot be reversed upon termination.

17. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration administered in accordance with the rules of the BVI International Arbitration Centre, with proceedings held in the British Virgin Islands. You agree to waive any right to a jury trial and to participate in class action lawsuits or class-wide arbitration.

Notwithstanding the foregoing, AgtOpen may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

18. Modifications to Terms

AgtOpen reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform interface, our official communication channels, or by updating the "Last Updated" date at the top of this page. Your continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms.

We encourage you to review these Terms periodically. If you disagree with any modifications, your sole remedy is to discontinue use of the Platform.

19. Privacy Policy

This Privacy Policy describes how AgtOpen Labs Ltd. collects, uses, stores, and protects information when you use the Platform.

19.1 Information We Collect

Wallet and Blockchain Data: Public wallet addresses, on-chain transaction history, and smart contract interactions. This data is publicly available on the blockchain.

Account Data from Connected Services: When you connect third-party accounts (exchanges, data providers, social accounts) to the Platform, AI Agents may access data from those connected accounts as necessary to perform their designated functions. This may include portfolio data, trading history, and account balances.

Usage Data: Platform interaction data including pages visited, features used, Agent configurations, timestamps, browser type, device information, and IP addresses.

Communications: Information you provide when contacting support or participating in community channels.

19.2 How We Use Your Information

• To provide, operate, and improve the Platform and Services
• To enable AI Agents to access and analyze data from your connected accounts
• To calculate and process fees (Performance Tax, Energy Credits)
• To communicate with you regarding service updates, security alerts, and support
• To detect and prevent fraud, abuse, and security incidents
• To comply with legal obligations and regulatory requirements
• To generate aggregated, anonymized analytics to improve Agent models and Platform performance

19.3 Data Sharing

AgtOpen does not sell your personal data. We may share information with:

• Service Providers: Third-party vendors who assist in operating the Platform (infrastructure, analytics, security).
• Blockchain Networks: Transaction data is inherently shared with the public blockchain upon settlement.
• Legal Compliance: When required by law, court order, or governmental authority.
• Corporate Transactions: In connection with a merger, acquisition, or sale of assets, where user data may be transferred to the successor entity.

19.4 Agent Data Access

AI Agents operating on your behalf may access data from your connected accounts, wallets, and designated data sources. You control which accounts are connected and may revoke access at any time through the Platform settings. AgtOpen implements access controls to limit Agent data access to the minimum scope necessary for their designated function. However, you acknowledge that granting Agents access to sensitive financial data carries inherent risk.

19.5 Data Retention

We retain your data for as long as necessary to provide the Services and fulfill the purposes outlined in this policy. On-chain data is permanently recorded on the blockchain and cannot be deleted by AgtOpen. Off-chain data may be deleted upon request, subject to legal retention requirements.

19.6 Data Security

AgtOpen implements industry-standard security measures including encryption in transit and at rest, access controls, and regular security assessments. However, no system is completely secure, and we cannot guarantee the absolute security of your information.

19.7 Your Rights

Depending on your jurisdiction, you may have rights including: access to your personal data, correction of inaccurate data, deletion of your data (subject to legal requirements and blockchain immutability), data portability, objection to certain processing activities, and withdrawal of consent. 19.8 Cookies and Tracking

The Platform may use cookies and similar technologies for session management, analytics, and functionality. You can manage cookie preferences through your browser settings. Certain cookies are essential for Platform operation and cannot be disabled without affecting functionality.

19.9 International Transfers

Your data may be transferred to and processed in jurisdictions outside your country of residence. By using the Platform, you consent to such transfers. AgtOpen takes steps to ensure appropriate safeguards are in place in compliance with applicable data protection laws.

19.10 Children's Privacy

The Platform is not intended for individuals under 18 years of age. We do not knowingly collect personal information from minors. If we become aware that we have collected data from a minor, we will take steps to delete such information.
